Terms of Service

1. Agreement to Terms

By accessing or using the Leaiire Astra platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and Leaiire LLC ("Leaiire," "we," "us," or "our").

2. Service Description

Leaiire Astra is an AI-powered call analytics platform that integrates with your existing phone system (e.g., Grandstream UCM, RingCentral, Nextiva) to provide call tracking, transcription, sentiment analysis, missed call alerts, and revenue intelligence dashboards. The Service is provided on a subscription basis.

3. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription term.

4. Recording Consent

You acknowledge that the Service may process call recordings provided by your phone system. You are solely responsible for obtaining all necessary consents from call participants as required by applicable federal, state, and local laws (including but not limited to two-party consent states). Leaiire does not initiate or control call recording—we process recordings you provide.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Share your account credentials with unauthorized third parties
• Use the Service to record calls without proper consent
• Upload or transmit any malicious code, viruses, or harmful data
• Resell, sublicense, or redistribute access to the Service without written permission

6. Data Ownership

You retain all ownership rights to your data, including call recordings, transcriptions, and analytics data generated from your calls ("Customer Data"). We do not claim ownership of your Customer Data. We process Customer Data solely to provide the Service to you. You grant us a limited license to process your Customer Data as necessary to operate and improve the Service.

7. AI & Automated Analysis Disclaimer

The Service uses artificial intelligence and machine learning to analyze calls, generate transcriptions, and produce insights. AI-generated outputs (including transcriptions, sentiment scores, and recommendations) are provided for informational purposes only and may contain errors or inaccuracies. You should not rely solely on AI-generated outputs for critical business decisions. We do not guarantee the accuracy, completeness, or reliability of any AI-generated content.

8. Healthcare & HIPAA Disclaimer

Leaiire Astra is NOT a HIPAA-compliant service. The Service is not designed for use with protected health information (PHI) as defined under the Health Insurance Portability and Accountability Act. If you operate in a healthcare setting, you are solely responsible for ensuring that no PHI is transmitted through or stored within the Service. Leaiire disclaims all liability for any HIPAA violations resulting from your use of the Service.

9. Payment Terms

Subscription fees are billed monthly via the payment method you provide at signup. All fees are quoted in U.S. dollars. You authorize us to charge your payment method for all applicable fees. If a payment fails, we may suspend your access to the Service until payment is received. You are responsible for all taxes associated with your use of the Service, excluding taxes based on our net income.

10. Refund Policy

All payments are non-refundable.

We offer a 30-day free trial so you can evaluate the Service before committing. Once your trial ends and billing begins, no refunds will be issued for any reason, including partial months, unused time, or dissatisfaction with the Service. You may cancel at any time to prevent future charges, but no refund will be provided for the current billing period.

11. Auto-Renewal & Cancellation

Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period—you will retain access until then.

12. Data Retention

We retain your Customer Data for 90 days following account termination or cancellation. After this period, all Customer Data is permanently deleted from our systems. During the retention period, you may request an export of your data by contacting us. We are not responsible for data that is not retrieved within the retention window.

13. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEAIIRE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO LEAIIRE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL LEAIIRE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

15. Indemnification

You agree to indemnify, defend, and hold harmless Leaiire and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your failure to obtain proper consent for call recording.

16. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination: (a) your right to use the Service ceases immediately; (b) we will retain your data for 90 days per our data retention policy; (c) you remain liable for any outstanding fees.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. If you do not agree with the updated Terms, you must stop using the Service.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.
